User Obligations
You agree to:

- Maintain the confidentiality of any account credentials

- Respect intellectual property rights
Intellectual Property Rights
Unless otherwise indicated, all content on our website and services, including text, graphics, logos, images, software, and other materials, is the property of Valhalla Venture Group LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.
For client work and custom development, intellectual property rights will be specified in separate agreements or statements of work.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Specific confidentiality terms will be outlined in non-disclosure agreements (NDAs) or service agreements as appropriate.
Payment Terms
For paid services:
- Payment terms will be specified in service agreements or proposals
- Typical enterprise engagements start at $1M+
- Invoices are due within the timeframe specified in agreements
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
Warranties and Disclaimers
Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.
While we strive for excellence in all engagements, specific warranties and service level agreements will be outlined in individual service contracts.
Limitation of Liability
To the maximum extent permitted by law, Valhalla Venture Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising from these Terms or our services shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.
Specific liability limitations for enterprise engagements will be detailed in service agreements.
Indemnification
You agree to indemnify and hold harmless Valhalla Venture Group LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.
Termination
We reserve the right to suspend or terminate your access to our services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Termination provisions for specific service engagements will be outlined in service agreements.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Valhalla Venture Group LLC regarding the use of our services.
